Pramudya A Oktavinanda is the managing partner of UMBRA – Strategic Legal Solutions and the go-to lawyer for any challenging and extraordinary transactions requiring systematic combination of immense legal skills, business acumen, a pragmatic attitude and imaginative thinking.
Throughout his career, Pramudya has represented major international, local and governmental clients in some of the largest and most sophisticated national and cross border transactions consisting of public offerings of equity and debt securities (covering local and international offerings under Rule 144A/Reg S of the US Securities Act of 1933), private placements, M&As of public and private corporations, joint ventures, corporate and debt restructuring, financial engineering, Islamic financing, procurement, EPC & O&M contracts drafting and negotiation.
Some of his notable past deals include: (i) representing the sellers in the US$3.2 billion takeover of PT Bumi Resources Tbk and PT Berau Coal Energy Tbk by Vallar Plc, a British public holding company owned by the Rothschild family; the largest takeover yet in Indonesia; and (ii) representing the investment banks in the US$1.4 billion secondary global offering of PT Matahari Putra Prima Tbk shares by CVC, the largest secondary offering in Indonesia to date.
After serving more than 12 years in one of the largest law firms in Indonesia, Pramudya established UMBRA in November 2017 along with his two partners. Under his leadership, within less than six months, the firm’s lawyers have grown to 24 people (including six partners) and the firm itself has been trusted to manage more than 60 deals by its clients.
Graduated cum laude as the best outstanding student from the Faculty of Law, University of Indonesia, Pramudya received his LLM degree from the University of Chicago Law School and is currently finalizing his PhD dissertation at the same university (expected to graduate this coming June). In addition to being academically trained in the art of Law and Economics, and Islamic Law, Pramudya is also well versed in various intricate industries such as: telecommunications, broadcasting, digital technology, power, energy, infrastructure, and state-owned enterprises.
