Introduction

Dai Lingyun specializes in private equity and venture capital investment, mergers and acquisitions, capital markets, US$/RMB-dominated fund formation and regulatory matters. He has represented domestic and foreign clients from a multitude of industries, including TMT, biopharmaceuticals, fintech, education, advanced manufacturing and consumer retail.

With his in-depth understanding in law and business, accompanied by his project-based experience, Dai has led many representative cases in the above-mentioned fields. With respect to PE/VC transactions he has represented: Morgan Stanley Private Equity in its investment in multiple education companies; Shunwei Capital in its investment in several companies; Rothschild in its investment in multiple growth consumer retail companies; Warburg Pincus in its investment in an intelligent logistics company; and many TMT companies in their multiple series of financing.

With respect to M&A transactions he has represented: Shanghai Elsker Baby Care Products International Trade Co in its acquisition by Johnson & Johnson (China) Investment Co; 56.com in its acquisition by Renren.com; Shanghai Chenyan Information Technology Co in its acquisition by Chengdu B-ray Media Co; Giant Interactive Group Inc in its acquisition of a game company, etc.

With respect to capital markets he has: Acted as issuer’s counsel for A-share IPO of Hangzhou Prevail Optoelectronic Equipment Co; acted as PRC counsel to Bilibili (BILI) for its Nasdaq IPO; acted as PRC counsel to Parade Technology in its listing on the Luxembourg Stock Exchange. etc.

With respect to fund formation and regulatory matters he has represented: OPG Fund LP; Yonghua International II LP in the formation of offshore investment funds; and multiple RMB funds in the formation and filing matters.

Dai holds a Bachelor’s degree from Tsinghua University’s School of Law and a Master’s degree from the University of Hong Kong’s Faculty of Law.
