Morrison & Foerster (MoFo) has recruited Nozomi Oda as a partner in its Tokyo corporate practice.
Admitted in both Japan (bengoshi) and New York, she brings expertise in cross-border public and private M&A transactions, joint ventures, strategic investments, and capital markets transactions.
Oda specializes in advising private equity and life sciences clients. She also regularly advises on Japanese regulations including securities, financial, funds, merger review, and healthcare and life sciences.
In addition to her work in private practice, Oda spent two years with Japan’s Financial Services Agency (FSA) as a deputy director of the corporate disclosure department, where she participated in the drafting of FSA regulations on disclosures regarding private placement offerings and director compensation.
Most notably, Oda represented Daiichi Sankyo in its US$6.9 billion global drug development and commercialization agreement with AstraZeneca and CR Bard in its acquisition of Medicon, a Japan-based distributor of medical equipment.
She also counselled Nissan Motor in its US$2.3bn acquisition of a 34% stake in Mitsubishi Motors, and Starbucks Coffee in its buyout of the remaining 60.5% share of Starbucks Coffee Japan.
